1. About these terms
These Terms of Use ("Terms") govern your use of the UQT website (www.uqt.ae) and the UQT portal (portal.uqt.ae) (together, the "Site"), and the brokerage and matching services described on the Site (the "Services"), each provided by UQG Technologies L.L.C ("UQT", "we", "us"). By accessing or using the Site or Services you agree to these Terms. If you do not agree, do not use the Site or Services.
2. About UQT
UQT is the trading name of UQG Technologies L.L.C, a Dubai mainland limited liability company licensed by the Department of Economy and Tourism (DET) under licence number 1624196. UQT operates a brokerage and technology platform that connects businesses to a network of regulated financial-service providers.
3. What UQT does and does not do
UQT is an introducer. We capture your business profile, score it against the regulated providers in our network, and package and route applications to those providers. UQT does not provide banking, payment, currency-exchange, virtual-asset, custody or brokerage of financial instruments services. The regulated financial services in the network are delivered by independent regulated providers, each licensed in their own jurisdiction. The decision to onboard any business and to provide any service rests with the relevant provider.
4. Eligibility
The Services are intended for businesses and the representatives of businesses, not for retail consumers seeking personal financial services. By using the Services you confirm that you have authority to bind the business you represent and that the information you provide is accurate.
5. Your account and information
To use the portal you may be required to create an account. You are responsible for keeping account credentials secure and for activity on your account. You agree to provide accurate, current and complete information and to update it as needed. You authorise UQT to share the information you provide with the regulated providers we route your application to.
6. Fees
UQT's brokerage and matching Services are provided to business clients free of charge. We are remunerated by the regulated financial-service providers we route applications to, on a per-introduction basis disclosed to the provider. Provider fees, if any, are separate from UQT's remuneration, disclosed by each provider, and payable by you directly to the provider. If at any time UQT introduces a service to you that attracts a fee from you (for example, an optional premium service), the fee, scope and payment terms will be disclosed in writing before any such service begins.
7. Acceptable use
Your use of the Site and Services must comply with our Acceptable Use Policy. You may not use the Services for unlawful, fraudulent, sanctions-breaching or otherwise prohibited activity.
8. Intellectual property
The Site, the matching engine, the portal, all software, copy, branding, design and content are owned by or licensed to UQT and are protected by intellectual-property laws. You may not copy, modify, resell or otherwise exploit any part of the Site or Services without written permission.
9. Third-party content and providers
The Site may contain links to, or information about, third parties including the regulated providers in our network. Inclusion is not an endorsement and UQT is not responsible for third-party content, services or actions. Your relationship with any provider is governed by your agreement with that provider, not by UQT.
10. Disclaimers
The Site and Services are provided "as is" and "as available". UQT does not warrant that the Site or Services will be uninterrupted, error-free, secure against all threats, or that scored matches will result in account openings. Matching is informational and does not constitute financial, investment, legal or tax advice.
11. Limitation of liability
To the maximum extent permitted by law, UQT will not be liable for any indirect, incidental, special, consequential or punitive damages, lost profits, lost data or business interruption arising from your use of the Site or Services. UQT's aggregate liability is limited to the fees paid by you to UQT in the twelve months preceding the event giving rise to liability.
12. Indemnity
You agree to indemnify UQT against any claim arising from your breach of these Terms, your misuse of the Site or Services, or your unlawful conduct.
13. Termination
UQT may suspend or terminate your access to the Site or Services at any time for breach of these Terms, suspected misuse, or where required by law or regulator. You may stop using the Site at any time.
14. Changes to these terms
UQT may update these Terms from time to time. The current version will always be posted on this page. Material changes will be communicated to active account holders.
15. Governing law and jurisdiction
These Terms are governed by the laws of the Emirate of Dubai and the federal laws of the United Arab Emirates applicable therein. Subject to mandatory law, the courts of Dubai have exclusive jurisdiction over any dispute arising from these Terms.
